Purpose of this Agreement The purpose of this Agreement is to provide clarification regarding the coaching relationship, expectations and commitments of all parties, and to preserve the integrity of the coaching relationship. Description of Coaching Services This coaching program shall consist of three to nine (3-9) 60-90 minute coaching sessions – held over the telephone, videoconferencing, or in person – spanning a period of twelve (12) months, unless otherwise mutually agreed upon. As appropriate, the Coach and Client may connect between meetings by phone or e-mail. This coaching engagement may be extended or shortened by either the client or the coach with notice of one week, with a proportional change in professional fees. Coach’s Responsibilities Coach agrees to maintain the ethics and standards of behavior as established by the International Coach Federation (ICF). Coach agrees to maintain complete written and verbal anonymity of all Client information disclosed or received unless permission is received from Client. The terms of anonymity shall not apply where failure to disclose may be, in Coach's sole discretion, in violation of any law or may involve information regarding certain crimes that have either been committed or Coach reasonably believes may be committed, or when such information is subject to subpoena. Coach makes no guarantee as to the results achieved nor is responsible for the results achieved from the coaching due to the subjective nature of the work. Coaching is a process that guides people to learn how to consistently achieve results and make his/her own choices and decisions. Client is responsible for his/her own achievements and success. Coach shall not be held accountable for any specific action the Client may or may not take to attain specific goals. Coach shall not be liable towards the Client for the result of actions taken by the Client in the course of this coaching program. Client’s Responsibilities Client agrees to communicate honestly, be open to feedback and assistance, and create the time, place and energy to participate fully in the coaching program in order to achieve agreed upon objectives of this coaching program. Cancellation Policy Client agrees that it is the Client's responsibility to notify the Coach twenty-four (24) hours in advance of the scheduled calls/meetings. Coach reserves the right to bill Client for a missed meeting, however, Coach will attempt in good faith to reschedule the missed meeting. Termination Either the Client or the Coach may terminate this Agreement at any time with _zero (0)_weeks written notice. Client agrees to compensate the Coach for all coaching services rendered through and including the effective date of termination of the coaching relationship. Coach agrees to refund the Client for all coaching services not rendered through and including the effective date of termination of the coaching relationship. Liability Coach shall not accept any liability to any person for any loss or damage resulting from a medical or physical deficiency of the Client. Entire Agreement This document reflects the entire agreement between the Coach and the Client and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client. Confidentiality This coaching relationship, as well as all information (documented or verbal) that the client shares with the coach as part of this relationship, is bound to confidentiality by the ICF Code of Ethics but is not considered a legally confidential relationship (like in Medicine or Law). The coach agrees not to disclose any information pertaining to the client without the client’s written consent. The coach will not disclose the client’s name as a reference without the client’s consent. Confidential information does not include information that: (a) was in the coach’s possession prior to its being furnished by the client; (b) is generally known to the public or in the client’s industry; (c) is obtained by the coach from a third party, without breach of any obligation to the client; (d) is independently developed by the coach without use of or reference to the client’s confidential information; or (e) that the coach is required by law to disclose.
